AMPLIFI IS A BETA PRODUCT. USE AT YOUR OWN RISK.
Amplifi is an experimental, beta-stage protocol. The software, smart contracts, mechanisms, fees, and operational parameters may change at any time without notice. The protocol has not been fully audited, formally verified, or stress-tested under live market conditions. Bugs, exploits, oracle failures, liquidation cascades, and total loss of funds are all possible.
DO NOT DEPOSIT FUNDS YOU CANNOT AFFORD TO LOSE IN FULL. By accessing or using Amplifi you accept that you are using a beta product entirely at your own risk and that neither T1 DERIVATIVES nor any of its affiliates, contributors, developers, or service providers will be liable for any losses arising from your use of the protocol.
1Introduction and Acceptance
1.1 These Terms of Service (the “Terms”) constitute a binding agreement between you (“you” or the “User”) and T1 DERIVATIVES, an exempted company incorporated in the Cayman Islands with company number 413842 (“T1 Derivatives,” “we,” “us” or “our”), governing your access to and use of Amplifi, including any websites, smart contracts, interfaces, APIs, documentation, and related services made available by us in connection with Amplifi (collectively, the “Services”).
1.2 By accessing or using any part of the Services, or by connecting a digital wallet to Amplifi, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms in full, you must not access or use any part of the Services.
1.3 We may amend these Terms from time to time. Any amended Terms will be posted at the same location as the current Terms and the “Last updated” date will be revised. Your continued access to or use of the Services following any such amendment constitutes your acceptance of the amended Terms. You are responsible for reviewing the Terms regularly. If you do not agree to any amended Terms, you must stop accessing and using the Services.
2Description of Amplifi
2.1 Amplifi is a protocol that enables Users to take leveraged positions referencing outcomes traded on Polymarket (the “Underlying Market”). The Services allow Users to (a) deposit collateral, (b) open, increase, reduce, and close leveraged positions referencing prices and outcomes of the Underlying Market, (c) deposit assets into Amplifi Lending Pools as a Lender, (d) lock collateral in an escrow contract on another supported network (for example, Monad) to receive margin on Amplifi, and (e) interact with related protocol mechanisms including liquidations and borrowing. Amplifi also enables Users to take leveraged positions in tokens traded on automated market makers and token launchpads on Robinhood Chain (“Token Leverage”).
2.2 Amplifi is a separate product from Polymarket and is not operated, endorsed, sponsored or affiliated with Polymarket, UMA, or any operator of the Underlying Market. References to Polymarket markets are informational only and do not constitute any representation about the operation, availability, accuracy or resolution of such markets.
2.3 Each User is provided with a wallet for use with the Services (the User's “Amplifi Wallet”), linked to the personal wallet the User connects or the embedded wallet the User signs in with. The Amplifi Wallet holds or records the User's collateral, borrowed funds and positions, and is subject to a programmable resource lock. The form and implementation of the Amplifi Wallet may vary by product and network, and the User's balances may be recorded in records maintained within the TEE described in Section 2.4. Users authorize actions by signing structured (EIP-712) messages. Transactions involving the Amplifi Wallet are executed programmatically by protocol-operated keys, pursuant to those authorizations and the rules of the resource lock. Users may also enable session-based authorization, under which actions during the session period do not require a per-action signature.
2.4 T1 Derivatives operates controlling keys used to enforce the resource lock and to execute protocol operations (such as liquidations and other protocol-defined actions) on the Amplifi Wallets. These controlling keys are held in a Trusted Execution Environment (a “TEE”): confidential virtual machines operated by T1 Derivatives on infrastructure provided by its service providers, whose memory is encrypted using AMD Secure Encrypted Virtualization (“SEV”) so that it cannot be read by the underlying host or infrastructure provider. T1 Derivatives and its personnel retain administrative access to those virtual machines for maintenance, software upgrades and emergency measures (for example, pausing the Services or protecting Users' assets during an incident), and TEEs may themselves contain vulnerabilities. The operational security of the controlling keys therefore depends on the security practices of T1 Derivatives and its infrastructure providers, and you acknowledge and accept that the controlling keys may be subject to compromise, misuse or loss.
2.5 Assets in Amplifi Wallets are held in programmatic custody: they are controlled by the controlling keys described in Section 2.4, which are operated primarily by software that acts on User authorizations and the rules of the protocol. T1 Derivatives does not hold Users' assets for its own account, does not take beneficial ownership of them, and does not use them for its own purposes.
3Beta Status and Risk Acknowledgement
3.1 Amplifi is offered as a beta product. The Services, including the smart contracts, off-chain infrastructure, interfaces, parameters and economic mechanisms, are experimental, may contain undiscovered bugs, defects or vulnerabilities, and may be modified, paused, frozen, deprecated, migrated, or discontinued at any time without prior notice and without liability to any User.
3.2 By using the Services, you expressly acknowledge and agree that:
- Amplifi is experimental and you are using it entirely at your own risk;
- You may lose some or all of the digital assets you deposit, post as collateral, lend, or otherwise expose to the Services, including as a result of liquidation, auto-deleveraging, smart contract failure, oracle failure, Lending Pool bad debt, market manipulation, network congestion, or any other reason;
- You are solely responsible for evaluating the suitability of the Services for you, for your trading or lending strategy and risk tolerance, and for any tax, legal or other consequences of your use of the Services;
- Past performance of Amplifi, of the Underlying Market or of any digital asset is not indicative of future results; and
- You should not deposit, stake, post as collateral, lend or otherwise commit to the Services any amount of digital assets you cannot afford to lose in full.
4Eligibility and Prohibited Persons
4.1 To access or use the Services, you must (a) be at least 18 years old (or the age of majority in your jurisdiction, whichever is older); (b) have the legal capacity to enter into and be bound by these Terms; and (c) not be a Prohibited Person.
4.2 “Prohibited Person” means:
- any U.S. Person, as defined under Regulation S of the U.S. Securities Act of 1933 or the U.S. Commodity Exchange Act, including any natural person resident in the United States, any entity organized or incorporated under the laws of the United States, and any account held for the benefit of a U.S. Person;
- any person resident, domiciled, located or organized in any jurisdiction subject to comprehensive sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury (“OFAC”), including (without limitation) Cuba, Iran, North Korea, Syria, the Crimea (including Sevastopol), Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine, and any other jurisdiction designated by OFAC from time to time as comprehensively sanctioned (each, a “Sanctioned Jurisdiction”);
- any natural person who is a citizen of, or any entity organized under the laws of, a jurisdiction subject to comprehensive sanctions administered by OFAC, the United Nations Security Council, the European Union or the United Kingdom, including Cuba, Iran, North Korea, Syria, the Crimea (including Sevastopol), Donetsk, Luhansk, Kherson and Zaporizhzhia regions of Ukraine, regardless of where that person is located;
- any person resident, domiciled or located in the Russian Federation, or in any other jurisdiction from which we restrict access from time to time;
- any person resident, domiciled or located in Belarus or in the Canadian provinces of Alberta, British Columbia, Ontario or Quebec;
- any person resident, domiciled or located in a jurisdiction that Amplifi lists as restricted for the relevant product, as updated from time to time;
- any person who is listed on any sanctions list maintained by OFAC, the United Nations Security Council, the European Union, the United Kingdom, or any other governmental authority of competent jurisdiction (each, a “Sanctions List”), or who is owned or controlled (directly or indirectly) by or acting on behalf of any such person;
- any person resident, domiciled or located in any jurisdiction in which leveraged trading on prediction markets or tokens, or the lending or borrowing of digital assets to fund such trading, is unlawful or restricted under applicable law; and
- any other person whose access to or use of the Services would be unlawful or otherwise restricted under any applicable law or regulation.
4.3 You represent and warrant, on the date of your first access to the Services and on each subsequent date on which you access or use the Services, that you are not a Prohibited Person and that none of your funds used in connection with the Services are derived from, or will be used in connection with, any unlawful activity or any activity involving a Prohibited Person or Sanctioned Jurisdiction.
4.4 We currently implement geo-blocking and may implement additional wallet-screening or other technical or operational measures to restrict access from Prohibited Persons. We may, but are not obliged to, monitor for, screen, or restrict access from, Prohibited Persons. Technical restrictions may block only certain actions (for example, opening new positions or depositing) while permitting Users to view information, close positions, and withdraw; the scope of restricted actions may change at any time. Any failure of any such measure does not constitute a waiver of, or any consent to, the access or use of the Services by any Prohibited Person.
4.5 You must not access or use the Services through a virtual private network, proxy, mirror, fork, or any other means designed or used to disguise or circumvent the foregoing restrictions.
5Wallets and Keys
5.1 You are solely responsible for the security of your private key, the email or social account you sign in with, and any other credentials used to access the Services. You must not share your private key, your seed phrase or any other authentication factor with any third party, including with anyone purporting to represent T1 Derivatives.
5.2 T1 Derivatives does not store, hold, manage, or have access to the private key of the personal wallet you connect to the Services. We cannot recover access to that key. Loss of it may result in permanent inability to transact with assets held in your Amplifi Wallet, including permanent inability to withdraw such assets. The Amplifi Wallet's controlling keys are operated by T1 Derivatives as described in Section 2.4. If you sign in with an email address or social account, the keys of your embedded wallet are created and held by a third-party wallet provider under its own terms, not by T1 Derivatives, and recovering access depends on that provider and on your continued access to that email or social account.
5.3 You are responsible for all activity that occurs through your Amplifi Wallet and any address associated with it, whether or not such activity was authorized by you.
6Leverage, Margin and Liquidation (Borrowers and Traders)
6.1 Amplifi enables Users (each, in that capacity, a “Borrower” and/or “Trader”) to obtain leveraged exposure to outcomes traded on the Underlying Market. Leveraged trading is highly risky and is not suitable for all Users. You can lose all the collateral committed to a position, together with any Fees and accrued borrowing costs.
6.1A When you open a leveraged position:
- (a) you commit collateral from your Amplifi Wallet;
- (b) a loan for the remainder of the position size is drawn from the Lending Pool assigned to that market and paid into your Amplifi Wallet; and
- (c) the full position is bought on the Underlying Market and held in your Amplifi Wallet.
For example, with 10 of collateral at 10x leverage, 90 is borrowed and a position of 100 is bought. Borrowed funds can be used only to buy and hold that position, and to repay the loan, interest and Fees. They cannot be withdrawn, transferred or used for any other purpose.
6.2 When you open a leveraged position, you are required to post collateral in an amount sufficient to satisfy the initial margin requirements applicable to such position. While the position is open you must maintain collateral at or above the maintenance margin level applicable to such position. Initial margin, maintenance margin, leverage limits, position size limits and other parameters may be set, modified, increased or decreased by us or by automated protocol mechanisms at any time without prior notice.
6.3 If at any time the value of your collateral falls below the applicable maintenance margin threshold, your position is subject to automatic full liquidation. Liquidation will involve the forced sale, closure or settlement of the entirety of your position at then-prevailing prices or reference prices determined by the Services. You may be charged liquidation fees, which may equal up to the full amount of the collateral committed to the position, and you may incur slippage costs. You acknowledge that liquidation can occur extremely rapidly, including during periods of high volatility, network congestion, oracle latency or temporary unavailability of the Underlying Market, and you waive any claim against us arising from any such liquidation.
6.4 Amplifi may, now or in the future, employ auto-deleveraging or similar mechanisms whereby, in order to limit the accumulation of bad debt in a Lending Pool, leveraged positions referencing the relevant market may be reduced, closed or otherwise adjusted. By using the Services, you acknowledge and consent to the application of any such mechanism to your positions and waive any claim against us arising from any such application.
6.5 Borrowers pay a borrowing rate on the loan drawn from the Lending Pool, which is paid to the Lenders in that Lending Pool. The applicable borrowing rate is determined by an interest rate curve based on the utilization of the relevant Lending Pool and may change continuously and without prior notice as utilization changes. Borrowing rates may be material relative to the size of your position and may become significantly higher during periods of high pool utilization.
6.6 Collateral values, margin requirements and liquidation triggers are determined using price data sourced from the Polymarket Central Limit Order Book API (the “Polymarket CLOB API”) via a price service (the “Amplifi Oracle”). The Amplifi Oracle runs in the same TEE as the controlling keys described in Section 2.4. The Amplifi Oracle and the Polymarket CLOB API may be inaccurate, stale, delayed, manipulated, rate-limited, modified, deprecated, restricted, or temporarily or permanently unavailable. We do not warrant the accuracy, availability or continuity of the Amplifi Oracle or of any data sourced from the Polymarket CLOB API.
6.7 You are solely responsible for monitoring your positions, your collateral, your margin requirements, and your liquidation prices. We do not provide, and do not undertake to provide, margin call notifications, warnings or any other form of monitoring service.
6.8 When a position is closed, whether by you, by liquidation, or at market resolution, the proceeds are applied in this order:
- (i) repayment of the loan and accrued interest to the Lending Pool;
- (ii) Fees, including any liquidation fee; and
- (iii) the balance, if any, credited to your Amplifi Wallet.
If the proceeds do not cover the loan and interest, the shortfall is first covered by remaining margin in your Amplifi Wallet. If the proceeds and remaining margin in your Amplifi Wallet do not cover the loan and interest, bad debt accrues in the Lending Pool (Section 7.3).
6.9 You may withdraw from your Amplifi Wallet only your free balance. The free balance excludes:
- borrowed funds;
- collateral committed to open positions or resting orders;
- any unrepaid loan principal; and
- any promotional credit designated as non-withdrawable.
Withdrawals may be paused while your balance is being recalculated, and are subject to the withdrawal fee described in Section 11. Withdrawals are paid only to the personal wallet you connected to the Services.
6.10 If you lock digital assets in a collateral escrow contract on another supported network, an equivalent amount of margin is made available in your Amplifi Wallet as a loan from a Lending Pool, which accrues interest. Locked assets are released through the Services in accordance with the rules we publish, and only to the extent they are not needed to cover that loan, its interest, any losses or Fees. The escrow contract, the network it runs on and the release process are subject to the risks described in Section 9.
6AToken Leverage
6A.1 Positions. Token Leverage lets you take long positions in tokens traded on automated market maker pools and token launchpads on Robinhood Chain. Short positions are not offered. Each position is a real purchase of the token on the pool: the full position size (your collateral multiplied by your chosen leverage) is bought with your collateral plus a loan. The tokens are held in your Amplifi Wallet. Maximum leverage, maintenance margin and position size limits are set per token and may change at any time.
6A.2 Loans and interest. Token Leverage loans are funded from Lending Pools. Interest accrues on the loan at a variable annual rate set per token, and is paid from the proceeds when the position closes.
6A.3 Pricing. Token Leverage has no external oracle. Positions are valued at the price at which the tokens could actually be sold on the onchain trading pool, after slippage for the position's size. This is measured by quoting a sale against the pool. Displayed prices are indicative only. The pool's price and liquidity can move sharply, be manipulated, or disappear.
6A.4 Liquidation. Open positions are re-priced frequently. A position may be liquidated when its sale value, after slippage, falls below the maintenance margin over the loan and accrued interest. To reduce the risk of liquidation on a single bad quote, the protocol may also require a time-weighted average of recent quotes to be below that threshold. On liquidation, all the position's tokens are sold on the pool, and the proceeds are applied first to the loan and interest, then to Fees, including the trading fee and a liquidation fee. Any balance is credited to your Amplifi Wallet. The re-pricing frequency, the averaging method and the level of Fees may change at any time. Liquidation can happen quickly and at prices well below the last displayed price.
6A.5 Shortfalls. If the sale does not cover the loan and interest, the shortfall is first covered by remaining margin in your Amplifi Wallet. If the proceeds and remaining margin in your Amplifi Wallet do not cover the loan and interest, bad debt accrues in the Lending Pool (Section 7.3).
6A.6 Venue dependency. Token Leverage depends on Robinhood Chain, the automated market maker pools and routers it uses, and the tokens themselves. None of these is operated or controlled by T1 Derivatives. A failure, halt, exploit or change in any of them, or a token losing its value or liquidity, may cause losses, prevent you from closing a position, or trigger liquidation. We may halt, restrict or close any Token Leverage market without notice.
6A.7 Withdrawals. Section 6.9 applies to Token Leverage.
7Lending Pools (Lenders)
7.1 Amplifi operates isolated lending pools (each, a “Lending Pool”). Each Lending Pool covers one or more Amplifi markets, market groups, or market categories, as determined by T1 Derivatives. A default Lending Pool may cover all markets not assigned to another Lending Pool. Users (each, in such capacity, a “Lender”) may deposit eligible digital assets into a Lending Pool in order to earn borrowing interest paid by Borrowers in that Lending Pool. Access to Lender functionality may be limited, gated, or invitation-only. Each Lending Pool is independent: assets in one Lending Pool are not used to fund borrowing in, or to cover losses of, any other Lending Pool.
7.2 The interest rate earned by Lenders in a given Lending Pool is a function of (i) the borrowing rate paid by Borrowers in that Lending Pool, as determined by the applicable utilization-based interest rate curve or as otherwise set for the relevant Lending Pool or market (for example, per token for Token Leverage), and (ii) the utilization of the Lending Pool. Interest rates may change continuously and without notice. Interest rate curves, utilization tiers, reserve factors and other parameters may be set, modified, added or removed by us or by automated protocol mechanisms at any time without prior notice.
7.3 Bad debt arising in any Lending Pool, including bad debt arising from liquidations that cannot be closed at or above the bankruptcy price of the relevant position, from oracle failure, from smart contract exploit, or from any other cause, is borne by the Lenders of that Lending Pool on a pro-rata basis according to their share of such Lending Pool. There is no guarantor, insurance fund, backstop or other third party that will reimburse Lenders for losses, and bad debt is not shared across Lending Pools. You may lose some or all of your deposit.
7.4 Lenders may withdraw deposited assets only to the extent the relevant Lending Pool has available, undrawn liquidity. During periods of high utilization, withdrawals may be delayed, partial or temporarily unavailable. Withdrawals do not entitle you to any specific assets or any specific amount, and may reflect any bad debt or other losses applicable to your share of the Lending Pool at the time of withdrawal.
7.5 Relationship of the parties.
- (a) Each loan, for prediction market leverage and for Token Leverage, is made by the Lending Pool, from assets deposited in that Lending Pool. Borrowers borrow from the Lending Pool, not from T1 Derivatives or from any individual Lender.
- (b) T1 Derivatives may be a depositor in one or more Lending Pools. Where it is, it earns and bears pool returns and losses as a Lender, on the same terms as any other Lender.
- (c) Assets deposited by Lenders are held in Lending Pool smart contracts, not by T1 Derivatives. T1 Derivatives is not a counterparty to any Lender's deposit.
- (d) Trades execute on the Underlying Market, or on onchain pools for Token Leverage. T1 Derivatives does not act as counterparty to trades executed through the Services. Where T1 Derivatives or its affiliates trade in their own capacity (Section 12.2), their orders may be matched against yours like those of any other market participant.
- (e) Your relationship with T1 Derivatives is limited to these Terms, under which T1 Derivatives provides the interfaces and operates the protocol functions described in Section 2.4 (see also Section 12.2).
7.6 Portions of liquidation fees and borrowing interest may be paid into protocol fee wallets and into the Lending Pools, as described in our documentation. The rate earned by Lenders under Section 7.2 is net of any portion paid into protocol fee wallets.
8Dependency on Polymarket
8.1 Amplifi references prices and outcomes determined by Polymarket and by the dispute resolution mechanism used by Polymarket (currently the UMA optimistic oracle). Price data is obtained by the Amplifi Oracle from the Polymarket CLOB API. Market resolution for purposes of Amplifi follows the resolution mechanism of the relevant Polymarket market. We do not operate, control, audit, monitor, or assume any responsibility for Polymarket, the Polymarket CLOB API, UMA or any other oracle or dispute resolution mechanism used by Polymarket.
8.2 Any change in, failure of, unavailability of, manipulation of, dispute of, halt of, delisting of, breaking change to, restriction of access to, or re-resolution of any Polymarket market, the Polymarket CLOB API, or any related oracle or dispute resolution mechanism may directly and adversely affect your positions, collateral, or deposits on Amplifi, including by triggering liquidations, by causing positions to settle at unexpected prices, by causing the Amplifi Oracle to return stale or incorrect data, or by rendering positions or markets unresolvable. You bear the entirety of such risk.
8.3 We may, in our sole discretion and without prior notice, halt, suspend, restrict, or unwind any market on Amplifi that references a Polymarket market that we determine, in our reasonable judgment, has become unreliable, manipulated, illiquid, or otherwise unsuitable for continued operation.
9Smart Contract and Technology Risks
9.1 The Services rely on smart contracts deployed on one or more public blockchains. Smart contracts may contain bugs, vulnerabilities, or design flaws. Once deployed, smart contracts may be difficult or impossible to upgrade, patch or repair. Funds interacting with a defective smart contract may be lost, locked, or stolen.
9.2 Blockchains and related infrastructure (including node providers, RPC endpoints, indexers, sequencers, bridges, wallets and front-end interfaces) may suffer downtime, congestion, forks, reorganizations, censorship or other failures, any of which may prevent you from accessing the Services, depositing or withdrawing assets, opening or closing positions, or otherwise interacting with the protocol in a timely manner. You bear all such risks.
9.3 We may rely on third-party software, libraries and service providers (including oracle providers, wallet providers, infrastructure providers, and audit firms) in connection with the operation of the Services. We make no representation or warranty regarding the security, availability or performance of any such third-party software or service.
10Prohibited Activities
10.1 You agree not to engage, and not to assist or attempt to engage, in any of the following activities in connection with the Services:
- violating any applicable law, regulation, sanctions program, or contractual obligation;
- accessing or using the Services as a Prohibited Person or on behalf of a Prohibited Person, or facilitating any such access or use;
- engaging in market manipulation, including wash trading, spoofing, layering, front-running, marking the close, momentum ignition, or any other manipulative or deceptive trading practice;
- manipulating or attempting to manipulate the Polymarket CLOB, the Polymarket order book, the Polymarket CLOB API, the Amplifi Oracle, the resolution of any Polymarket market, or any oracle, price feed or dispute resolution mechanism used by the Services, including by placing orders on Polymarket for the purpose of moving the Amplifi reference price or triggering liquidations on Amplifi;
- extracting value from other Users through maximal extractable value (“MEV”) techniques targeted at users of the Services, including sandwiching, back-running or front-running other Users' transactions;
- exploiting any bug, vulnerability, error or design flaw in the Services, in the Amplifi Wallet resource lock, in the Amplifi Oracle or in the Polymarket CLOB API to obtain assets, value, or information to which you would not otherwise be entitled;
- reverse engineering, decompiling, disassembling, copying, modifying, or creating derivative works of any non-open-source component of the Services;
- using the Services to engage in money laundering, terrorist financing, tax evasion, fraud, or any other unlawful financial activity;
- using bots, scripts, automated agents, or scrapers to access the front-end interfaces in a manner that disrupts, degrades, overloads, or attempts to evade rate limits or other access controls; and
- any other activity that is, in our reasonable judgment, harmful to the Services, to other Users, or to T1 Derivatives or its affiliates.
10.2 We may, in our sole discretion and without prior notice, take any action we consider necessary or appropriate to address suspected violations of this Section 10, including by restricting access to any front-end interface, by adjusting or closing positions, or by reporting suspected violations to applicable authorities.
11Fees
11.1 Your use of the Services may be subject to trading fees, borrowing costs, liquidation fees, withdrawal fees, gas costs, and other fees and costs (collectively, “Fees”). Applicable Fees are described in our documentation as updated from time to time. We may add, modify, increase or decrease Fees at any time without prior notice. You are responsible for ensuring that you understand all Fees applicable to your activity before using the Services.
11.2 All Fees are payable in the manner specified by the Services. Network gas and similar on-chain costs are generally paid by protocol infrastructure on your behalf and may be recovered through Fees (for example, the withdrawal fee).
11AReferral Program
11A.1 We may operate a referral program under which Users earn rewards calculated as a percentage of protocol revenue attributable to Users they refer (directly or indirectly). Referral rewards accrue on a ledger maintained by us and are payable in the manner and on the schedule we determine. We may modify, suspend, or terminate the referral program at any time, and may withhold or claw back rewards in cases of abuse, including self-referral, collusion, or other manipulation.
11BPromotions and Credits
11B.1 We may offer promotional rewards or credits (for example, deposit bonuses or activation credits). Promotional rewards and credits may be tradable but non-withdrawable until stated conditions (for example, trading-volume thresholds) are met, may be subject to clawback within stated windows, and may be modified or discontinued at any time without notice.
11CAmps and Prize Draws
11C.1 We may award points (“Amps”) for activity on the Services. Amps have no monetary value, are not transferable, cannot be exchanged for cash or digital assets except as we expressly state, and may be adjusted, withheld, reset or discontinued at any time, including in cases of abuse.
11C.2 We may hold prize draws in which Amps or other activity determine eligibility or entries. Each draw is subject to the rules we publish for it, including eligibility, entry, the selection method and the prize. We may change, suspend or cancel any draw, and may disqualify any entry, at any time. Draws are void where prohibited, and Prohibited Persons may not enter or win.
12No Advice; No Fiduciary Relationship
12.1 Nothing on or available through the Services constitutes investment, financial, legal, tax, or any other professional advice. All information made available through the Services is provided for informational purposes only and should not be relied upon as the sole basis for any decision. You should consult your own qualified advisers before making any decision relating to your use of the Services.
12.2 Nothing in these Terms or in your use of the Services creates any deposit, banking, brokerage, advisory, fiduciary, custodial trust, agency, partnership, joint venture or employment relationship between you and T1 Derivatives. T1 Derivatives is not your broker, dealer or investment adviser. T1 Derivatives and its affiliates may use the Services and trade on the Underlying Market in their own capacity, on the same terms as other Users.
13Intellectual Property
13.1 Except for any portion of the Services that is made available under an open-source licence (in which case the terms of such licence shall govern), all intellectual property rights in and to the Services, including all software, smart contracts, front-end interfaces, documentation, trademarks, logos, designs, and content, are and will remain the property of T1 Derivatives or its licensors.
13.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal, non-commercial use. All other rights are reserved.
14Disclaimer of Warranties
14.1 THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, T1 DERIVATIVES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS AND SERVICE PROVIDERS (TOGETHER, THE “T1 PARTIES”) DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS.
14.2 WITHOUT LIMITING THE FOREGOING, THE T1 PARTIES MAKE NO REPRESENTATION OR WARRANTY REGARDING (A) THE PERFORMANCE, RELIABILITY OR CONTINUED AVAILABILITY OF THE SERVICES, OF POLYMARKET, OR OF THE POLYMARKET CLOB API; (B) THE ACCURACY OR TIMELINESS OF THE AMPLIFI ORACLE OR OF ANY PRICE DATA SOURCED THROUGH IT; (C) THE RESOLUTION OR FINALITY OF ANY POLYMARKET MARKET; (D) THE SOLVENCY OF ANY LENDING POOL OR THE ABILITY OF ANY LENDING POOL TO ABSORB BAD DEBT; (E) THE PERFORMANCE, AVAILABILITY, PRICING OR LIQUIDITY OF ROBINHOOD CHAIN OR OF ANY AUTOMATED MARKET MAKER POOL, TOKEN LAUNCHPAD OR TOKEN USED FOR TOKEN LEVERAGE; OR (F) THE OUTCOME, PROFITABILITY OR TAX TREATMENT OF ANY TRANSACTION ENTERED INTO BY YOU.
15Limitation of Liability
15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANY T1 PARTY BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE T1 PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE T1 PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, IN THE AGGREGATE, WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE TOTAL FEES (EXCLUDING NETWORK GAS COSTS) PAID BY YOU TO T1 DERIVATIVES IN CONNECTION WITH THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15.3 The limitations in this Section 15 form an essential basis of the bargain between you and T1 Derivatives and will apply even if any remedy stated in these Terms is found to have failed of its essential purpose.
16Indemnification
16.1 You agree to indemnify, defend and hold harmless the T1 Parties from and against any and all claims, actions, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with (a) your access to or use of the Services; (b) your breach or alleged breach of these Terms; (c) your violation or alleged violation of any law, regulation or third-party right; and (d) any positions, transactions, instructions or other activity attributable to your Amplifi Wallet.
17Suspension and Termination

18Dispute Resolution; Arbitration
18.1 Any dispute, claim or controversy arising out of or relating to these Terms or the Services, including the existence, validity, interpretation, performance, breach or termination thereof, or any dispute regarding non-contractual obligations arising out of or relating to them (each, a “Dispute”), shall be referred to and finally resolved by binding arbitration administered by JAMS under the JAMS International Arbitration Rules then in force.
18.2 The seat of the arbitration shall be the Cayman Islands. The arbitration shall be conducted by a sole arbitrator appointed in accordance with the said rules. The language of the arbitration shall be English.

18.4 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND T1 DERIVATIVES EACH AGREE THAT ANY DISPUTE SHALL BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO POWER TO CONSOLIDATE THE CLAIMS OF MULTIPLE USERS OR TO PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
18.5 Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights, confidential information, or to prevent ongoing or threatened violations of these Terms.
19Governing Law
19.1 These Terms, and any Dispute, shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of laws principles. Subject to Section 18, the parties submit to the exclusive jurisdiction of the courts of the Cayman Islands for any matter not subject to arbitration.
